Terms of Service

These Terms of Service govern your use of HeurChain, operated by Carlsson Creative LLC. By creating an account or making an API call, you agree to these terms. If you do not agree, do not use the service.

1. Acceptance

By accessing or using HeurChain — including through the web dashboard, REST API, or any SDK — you agree to be bound by these Terms of Service and our Privacy Policy. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.

2. The service

HeurChain is a hosted vector memory broker for AI agents. It allows applications to store, query, and manage high-dimensional vector embeddings through a multi-tenant API. The service runs on professional cloud infrastructure with Qdrant as the underlying vector database. We handle provisioning, scaling, backups, and uptime so that you can focus on your application layer.

3. Account

You must be at least 16 years old to create an account. You agree to provide accurate information (name, email) and to keep it current. Your API key is a secret credential — treat it like a password. You are responsible for all activity that occurs under your account, whether authorized by you or not. If you suspect your API key has been compromised, rotate it immediately via the dashboard and contact [email protected].

4. Plans, pricing, and changes

HeurChain offers three service tiers. Each plan is described below using the terminology defined in Section 5.

  • Hosted — $5/month. One tenant, one seat, unlimited agents writing into that tenant. Designed for solo users who want to consolidate memory across ChatGPT, Claude, coding agents, and custom scripts — all piped into a single personal workspace. Subject to the caps listed in Section 6.
  • Enterprise — $49/month for the first seat, plus $9.99/month per additional seat. One tenant, multiple seats. Designed for a team or department: each seat is an employee whose agents all share the same group tenant. A company that needs separate siloed memory for multiple departments (e.g., Engineering and Sales) purchases one Enterprise subscription per department; each subscription is its own tenant with its own caps. Subject to the caps listed in Section 6.
  • Enterprise Custom — Contact us. Custom contracts covering multiple tenants, dedicated infrastructure, custom SLAs, and negotiated seat counts. Email [email protected].

We may change prices for new billing cycles with 30 days advance notice via email. Existing subscribers are grandfathered at their current price through the end of their active billing period. The new price takes effect at the next renewal after the notice period expires.

5. Definitions: Tenant, Seat, Agent

A tenant is an isolated data silo within HeurChain. Each tenant owns its own vector memory store, API key, and vault directory. Data belonging to one tenant is never visible to or accessible by any other tenant. When you subscribe to a Hosted or Enterprise plan, your subscription creates exactly one tenant.

A seat is a human user account — a Supabase authentication login — attached to a tenant. Each seat represents one person who can access the tenant's dashboard, manage settings, and generate or rotate the tenant's API key. The Hosted plan includes one seat. The Enterprise plan begins with one seat and allows additional seats at $9.99/month each.

An agent is any piece of software that makes API calls into a tenant's memory store. Agents are not billed separately — all plans include unlimited agents. Examples include: an OpenAI ChatGPT conversation, a Claude session, a Cursor coding agent, a custom LangChain pipeline, a sub-agent spawned by an orchestrator, or any other program using the HeurChain REST API.

One seat can simultaneously attach many agents — for example, a developer whose ChatGPT, Claude, and a custom script all write into the same tenant. One tenant can have many seats and many agents all writing into the same shared memory store.

6. Hard caps and fair use

All plans run on shared infrastructure. To keep the service fast and reliable for every tenant, the following hard caps are enforced at the API layer. Requests that exceed a rate limit receive an HTTP 429 response. Storage and operation caps trigger a service suspension notification before accounts are blocked.

Enterprise "unlimited in spirit" caveat

The Enterprise plan is sized to support typical production workloads within the caps above. It is not unlimited. If your usage sustains above 14,000,000 vectors or 40,000,000 operations per month, you become automatically eligible for mandatory migration to Enterprise Custom. We will give you 30 days written notice before requiring that migration. During the notice period your service continues uninterrupted.

Egress soft-cap

Enterprise tenants receive 500 GB of outbound data transfer per calendar month at no additional charge. If your tenant consistently exceeds this, we may first throttle egress bandwidth, then — after giving written notice — charge $0.01 per GB for egress beyond the 500 GB included.

Additional seats

Each additional team member who requires their own account under an Enterprise subscription is billed at $9.99/month per seat. Per-seat invites and enforcement in the dashboard are on the roadmap; in the meantime, seat enforcement is on an honor system. We reserve the right to audit seat counts and bill retroactively for undeclared seats upon discovery.

Abuse throttling

Customers who sustain more than approximately 5,000,000 hot (in-memory) vectors on shared infrastructure impose disproportionate RAM pressure on other tenants. We reserve the right to throttle any tenant whose usage materially degrades shared cluster performance, and to require migration to dedicated infrastructure. We will notify you before taking any throttling action except in cases of active service impact.

Per-tenant cap scope

All hard caps in this section apply per tenant. Customers who purchase multiple Enterprise subscriptions receive multiple independent tenants, each with its own cap. Caps are not shared or pooled across tenants.

7. Acceptable use

You may use HeurChain only for lawful purposes. You agree not to:

  • Store or transmit illegal content, including content that violates intellectual property rights or privacy laws.
  • Use the service to deliver malware, phishing payloads, or any code designed to harm systems or users.
  • Attack, probe, or disrupt HeurChain infrastructure or other tenants.
  • Resell or white-label the HeurChain API without a written reseller agreement signed by Carlsson Creative LLC.
  • Use HeurChain in a way that circumvents the terms of service of another platform or vendor.

Each Enterprise subscription corresponds to one workspace or department. Customers may not consolidate multiple departments into a single tenant to evade per-tenant caps — doing so is a fair-use violation and may result in suspension or mandatory migration to Enterprise Custom.

Violations may result in immediate suspension without refund. We reserve the right to determine what constitutes a violation at our reasonable discretion.

8. Billing and refunds

Subscriptions are billed monthly in advance through Stripe. Your card is charged on the same date each month (your billing anniversary). All prices are in USD.

If a payment fails, your account enters a grace period. If payment is not resolved within 7 days, your account is suspended and queued for cancellation. Data is retained for an additional 30 days after suspension (see Section 9) before permanent deletion.

Refunds are handled case-by-case. We will issue a pro-rated credit or refund if HeurChain experiences a verified service outage exceeding 24 consecutive hours in a billing month that materially affected your tenant. To request a refund, email [email protected] within 30 days of the incident.

9. Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal (the link is in your welcome email and on the dashboard). Cancellation stops future billing immediately. Your service remains active through the end of the current paid billing period — we do not cut off access early.

After your subscription ends, your tenant and all associated data are retained for 30 days in case you change your mind. At the end of that 30-day window, your tenant, stored vectors, and account records are permanently and irreversibly deleted. Export your data via the API before cancelling if you need to keep it.

10. Phase 2 overage rates

This section is reserved for future metered billing. We are not currently charging overages beyond what is described in Sections 4 and 6. When metered billing becomes available, the following rate card will apply:

  • Storage: $0.50 per 1,000,000 vector-months beyond plan inclusion.
  • Query operations: $3.00 per 1,000,000 query ops beyond plan inclusion.
  • Write operations: $2.00 per 1,000,000 write ops beyond plan inclusion.
  • Egress: $0.01 per GB beyond the 500 GB/month soft-cap (Enterprise) or base inclusion (Custom).
  • Seats: $9.99/month per seat (already active — see Section 6).

We will give at least 30 days notice before any metered overage charge takes effect on your account. The notice will arrive via email and a dashboard banner. You will have the option to upgrade your plan or cancel before the first metered invoice is generated.

11. Liability and warranty

The service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the service will be uninterrupted, error-free, or free of security vulnerabilities.

To the maximum extent permitted by applicable law, Carlsson Creative LLC's total liability to you for any claim arising out of or relating to these terms or the service is limited to the amount you paid to HeurChain in the 12 months immediately preceding the event giving rise to the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Carlsson Creative LLC and its officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the service, your violation of these terms, or your violation of any third-party rights.

13. Termination by us

We may suspend or terminate your account for violations of these terms, non-payment, or if required by law. We will attempt to give reasonable advance notice except where the violation involves active harm to other tenants, active illegal activity, or an emergency that requires immediate action. Upon termination, your right to access the service ceases immediately. Data retention and deletion follow the schedule in Section 9.

14. Governing law and disputes

These terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these terms or the service will be resolved by binding arbitration in San Diego, California, under the rules of the American Arbitration Association, except that either party may bring a claim in small-claims court if it qualifies. You waive any right to a jury trial or to participate in a class action.

15. Changes to these terms

We may update these Terms of Service as the service evolves. For material changes, we will send an email to the address on your account and display a banner on the dashboard at least 30 days before the new terms take effect. Continued use of the service after the effective date constitutes acceptance of the updated terms. If you do not accept the updated terms, cancel your account before the effective date.
